1. Agreement to Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you and UNCAPT Pty Ltd (ABN 15 641 190 552) ("UNCAPT", "we", "our", "us") governing your access to and use of INSIGHT and related services.
By accessing or using our services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you are accessing INSIGHT on behalf of an organisation, you represent that you have the authority to bind that organisation to these Terms.
2. Description of Service
INSIGHT is an AI-powered research operating system that helps researchers build knowledge graphs, analyse documents, and collaborate with Ari — our research reasoning agent. The Service includes:
- Document upload and knowledge graph generation
- Chat, Discover, Literature Review, Contextualise, and Grant Review modes
- Contradiction detection and advanced clustering
- Team knowledge banks and access management
- Citations export and external source integration (higher-tier plans)
- API access for integration
3. Eligibility and Access
3.1 Individual Accounts
INSIGHT is available to individuals via a direct subscription. You must be 18 years or older to create an account and use the Service.
3.2 Team and Institutional Plans
Team and Academic Lab plans are available to research groups and institutions. Administrators are responsible for ensuring all team members comply with these Terms.
3.3 Free Trial
We offer a 7-day free trial on all paid plans (Starter, Research Pro, and Academic Lab). No charge is made during the trial period. If you do not cancel before the trial ends, your subscription will commence automatically at the monthly plan rate.
4. User Accounts
To access certain features of the Service, you must register for an account. You agree to:
- Provide accurate, current, and complete information
- Maintain and promptly update your account information
- Maintain the security of your password and account credentials
- Accept responsibility for all activities that occur under your account
- Notify us immediately of any unauthorised use of your account
5. Acceptable Use
You agree to use INSIGHT only for lawful research, academic, and professional purposes. You must not use the Service to:
- Upload or process illegal, harmful, or inappropriate content
- Violate any applicable laws or regulations
- Infringe on the intellectual property rights of others
- Attempt to gain unauthorised access to the Service or its infrastructure
- Interfere with or disrupt the Service or servers connected to it
- Reverse-engineer, decompile, or extract any part of the Service
- Resell, sublicense, or redistribute the Service or its outputs without written authorisation
- Use the Service in any way that could damage, disable, or impair UNCAPT's infrastructure
6. Intellectual Property
6.1 UNCAPT IP
All intellectual property in the INSIGHT platform — including its reasoning engine, software, algorithms, and website content — is owned by or licensed to UNCAPT. You may not copy, modify, distribute, or reverse-engineer any part of our services without written permission.
6.2 Your Content
You retain ownership of all documents, papers, and content you upload to the Service. By using the Service, you grant UNCAPT a limited licence to process, store, and analyse your content solely for the purpose of providing the Service to you.
6.3 AI Outputs
Knowledge graphs, literature reviews, and other outputs generated by INSIGHT based on your content are yours to use. UNCAPT does not claim ownership over outputs derived from your uploads.
7. Privacy and Data Protection
Your research data is private by default. We implement technical and organisational measures to protect your data against unauthorised access, alteration, disclosure, or destruction.
We do not use your uploaded documents or queries to train any AI model. All data is encrypted at rest (AES-256) and in transit (TLS 1.3). For full details, see our Security page.
8. Payment Terms
8.1 Subscription Fees
Paid plans are billed monthly in advance. Fees are non-refundable except as required by applicable law.
8.2 Plan Limits and Feature Access
Each plan includes defined usage limits (monthly query allowances, documents per Knowledge Bank, and file size caps) and access to specific modes. Starter includes 150 queries/month, 2 Knowledge Banks, and up to 15 documents per bank. If you reach your query limit, queries are paused until the next billing cycle. Document and file size limits apply per Knowledge Bank as specified on the pricing page. Higher-tier plans unlock additional modes and features. Upgrading your plan restores access and unlocks new capabilities immediately.
8.3 Price Changes
We may change pricing with at least 30 days' notice before changes take effect. Continued use after the effective date constitutes acceptance.
8.4 Taxes
All prices are listed exclusive of GST and other applicable taxes. You are responsible for any taxes arising from your use of the Service.
9. Service Availability
9.1 Uptime
UNCAPT targets 99.9% availability for the INSIGHT platform, measured monthly, excluding scheduled maintenance windows.
9.2 Maintenance
We will provide reasonable advance notice for planned maintenance that may affect service availability.
9.3 No Guarantee
While we make commercially reasonable efforts to maintain high availability, we do not guarantee uninterrupted access. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control.
10. Limitation of Liability
To the maximum extent permitted by Australian law:
- UNCAPT provides INSIGHT on an "as is" and "as available" basis.
- We do not warrant that the Service will be error-free or meet your specific research requirements.
- UNCAPT shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service.
- Our total aggregate liability shall not exceed the fees paid by you in the 12 months preceding the claim.
Nothing in these Terms excludes or limits liability that cannot be excluded under the Australian Consumer Law (Schedule 2, Competition and Consumer Act 2010).
11. Indemnification
You agree to indemnify and hold harmless UNCAPT, its directors, employees, and partners from any claims, losses, or damages arising from your breach of these Terms or your misuse of the Service.
12. Termination
We may suspend or terminate your access to INSIGHT at any time, with or without cause. Upon termination:
- Your right to use the Service ceases immediately.
- You may export your data for 30 days following termination. After that period, data will be deleted.
- Provisions that by their nature should survive termination (including Sections 6, 10, 11, and 14) will continue in effect.
You may terminate your account at any time from your account settings or by contacting us.
13. Force Majeure
UNCAPT shall not be liable for any failure or delay in performing its obligations where such failure or delay results from circumstances beyond our reasonable control, including natural disasters, pandemic, government actions, power outages, telecommunications failures, cyber-attacks, or failures of third-party cloud infrastructure providers.
14. Changes to Terms
We may update these Terms from time to time. Material changes will be communicated via email and published on our website with at least 30 days' notice. Your continued use of the Service after changes constitutes acceptance of the updated Terms.
15. Severability
If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited to the minimum extent necessary, and the remaining provisions will remain in full force and effect.
16. Governing Law
These Terms are governed by the laws of New South Wales, Australia. Any disputes arising from these Terms or your use of the Service shall be subject to the exclusive jurisdiction of the courts of New South Wales.
